Thailand BOI License Thailand

The Thailand Board of Investment (BOI) has the power under Thailand laws to grant special privileges allowing foreigners to own 100% of a company limited.
The Thailand BOI has the power to grant the following privileges depending on the specifics of the investment plan:

Exemption from rules restricting foreign ownership of companies;
Exemption from corporate income tax for up to 8 years;
Exemption of import duties on machinery and raw materials;
Exemption from rules restricting foreign ownership of land;
Exemption from work permit and visa rules; and
Exemption from rules restricting overseas remittances.

The amount and type of privileges you can receive depend on your business activities and location of your business in Thailand.
However, not all business activities are eligible to receive BOI privileges.

Thailand BOI applications can be made before or after the establishment of a company in Thailand.
Generally, the minimum level of investment capital required to obtain BOI privileges is 10,000,000 Baht.
Some categories of BOI activities require selling and administrative expenses of 10,000,000 Baht per year.
Types of expenses that are considered selling and administrative expenses are listed out on Thailand's annual corporate income tax form PND 50.
Thailand BOI applications require that a lengthy business plan be submitted and usually takes at least 2 months or more to process after submission to the BOI.

Thailand BOI Document for Applications

All projects: Two sets of the complete BOI investment application form: - Application Form (F PA PP 01) for all types of activities except for those requiring application forms under Services/Software
- Application- Services (F PA PP 03) under categories 3.9, 5.6, 7.1 (only 7.1.3 - 7.1.5), 7.2 - 7.11, 7.13 - 7.16 and 7.19
- 7.23 - Application Form- Software (F PA PP 04) under categories 5.7 and 5.8
- Application Form- SMEs (F PA PP 29) under the SME policy
Individuals:
- Present the national ID card or passport
Juristic entities:
Copy of the current certificate of business registration issued within the last 6 months
Copy of the current list of shareholders (Form BorOrJor.5) or shareholding distribution report
Copy of the current list of shareholders (Form BorOrJor.5) or shareholding distribution report - Copy of most recent financial statements (if any)
Attorneys-in-fact (authorized person)
Power of attorney affixed with stamp duties
Copy of national ID card of the authorized person/identification card issued by a government authority
Present the national ID card or passport
Projects with an investment value of over 750 million THB (excluding cost of land and working capital) Project feasibility study report
Activities concerning environmental impacts (categories 1.5.2, 1.6, 1.9, 1.10, 1.13, 1.14, 1.15, 1.16, 1.17, 2.2, 2.7, 2.8, 2.9, 2.10, 2.11, 2.12, 2.13, 2.14, 2.15, 3.1 (only if involving the dyeing process)), 4.2, 4.3, 4.9, 5.2.5 (only for the manufacturing of batteries or flashlight batteries), 5.4.2, 5.5, 6.1, 6.2, 6.3, 6.4, 6.5, 6.8, 6.9, 6.10, 6.11, 6.12, 7.1.1, 7.17 and 7.18)

Remarks:

- Application forms and/or supplementary forms shall contain complete information and shall only be deemed complete if affixed with the signature(s) of the authorized person(s) and/or the company seal as specified in the affidavit issued by the Ministry of Commerce/the power of attorney.

- All submitted documents and evidence shall be affixed with the signature(s) of the authorized person(s) and/or the company seal as specified in the affidavit issued by the Ministry of Commerce/the power of attorney (if there is more than one page, only the first page needs to be signed and/or stamped)
